1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Cognalith Solutions Private Limited ("Company", "we", "us"), the operator of LocalSpy AI at localspyai.com ("Service").

By registering an account, clicking "I agree", or using any part of the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

LocalSpy AI is a web-based software-as-a-service (SaaS) platform that provides competitive intelligence tools for local business owners and marketing agencies. The Service includes:

• Competitor scanning using publicly available Google Maps/Places data
• AI-powered Deep Intel reports generated via OpenAI's API
• Keyword gap analysis for local SEO
• Competitor advertising and messaging intelligence
• AI-generated advertising images via DALL-E 3
• Competitor tracking and Monday alert emails
• Agency client workspace management

The Service relies on publicly available data sources (Google Maps, Google Places API). We do not scrape private, proprietary, or password-protected systems.

3. Accounts & Registration

To use the Service, you must create an account with a valid email address. You agree to:

• Provide accurate and truthful registration information
• Keep your password confidential and not share it with others
• Notify us immediately if you suspect unauthorised access to your account
• Be responsible for all activity that occurs under your account
• Not create multiple accounts to circumvent plan limits or restrictions

You must be at least 18 years old to create an account. By registering, you confirm that you meet this age requirement.

4. Subscriptions & Billing

4.1 Plans

The Service offers three plans: Starter (Free), Pro ($29/month), and Agency ($79/month). Plan features and limits are described at localspyai.com/#pricing and may change with notice.

4.2 Billing & Renewal

Paid plans are billed monthly in advance. Subscriptions automatically renew at the end of each billing period unless cancelled. By providing payment details, you authorise us to charge your payment method on each renewal date.

4.3 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase via email. Your continued use after the effective date constitutes acceptance of the new price.

4.4 Refunds

Please refer to our Refund Policy for full details on refunds and cancellations.

4.5 Failed Payments

If a payment fails, we will attempt to retry it and notify you by email. If payment is not received within 7 days, your account may be downgraded to the Free plan until payment is resolved.

5. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to harass, defame, or harm any individual or business
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated bots or scripts to access the Service in excess of normal usage
• Resell or sublicense access to the Service without written authorisation
• Use the Service in violation of any applicable local, state, national, or international law
• Share your account credentials or API keys with others outside your plan's intended use
• Attempt to probe, scan, or test the vulnerability of our systems
• Circumvent plan limits by creating multiple free accounts
• Generate content that is defamatory, obscene, or designed to harm third parties

6. Intellectual Property

6.1 Our IP

LocalSpy AI, its brand, source code, algorithms, design, UI, AI prompting systems, and all related materials are the exclusive intellectual property of Cognalith Solutions Private Limited. Nothing in these Terms grants you any rights to our IP except the limited licence to use the Service as described herein.

6.2 Licence to You

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

6.3 AI-Generated Content

Reports, keyword analyses, ad copy ideas, and images generated by our AI tools are provided for informational and inspiration purposes. You may use them for your business, but we make no warranty that AI-generated content is original, accurate, or free from third-party intellectual property claims. You are responsible for reviewing AI output before commercial use.

7. User Content

You retain ownership of any content you input into the Service (search queries, uploaded images, workspace details). By using the Service, you grant us a limited licence to process your content solely to provide the Service to you. We do not use your specific data to train AI models or share it with other users.

8. Third-Party Services

The Service integrates with third-party APIs (Google, OpenAI, Stripe, Resend). We are not responsible for the accuracy, availability, or actions of these third-party services. Their use is subject to their own terms and policies. Service disruptions caused by third-party APIs are outside our control.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Accuracy or completeness of competitor data (sourced from Google's public APIs)
• Uninterrupted, error-free, or secure operation of the Service
• Results from using competitive intelligence — business outcomes depend on your actions

Competitive intelligence data is sourced from Google Maps/Places, which may not always be accurate or up to date. Always verify critical business information independently.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNALITH SOLUTIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cognalith Solutions Private Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, or (c) your infringement of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. You may cancel your account at any time from the billing settings. We reserve the right to suspend or terminate your account immediately if you violate these Terms, without refund.

Upon termination, your right to use the Service ceases immediately. Data deletion follows our Privacy Policy retention schedule.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Patna, India.

Before initiating legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. Contact us at hello@localspyai.com.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email and by displaying a notice in the dashboard at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
